Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Pantry mobile application and related services (collectively, the "Service"), operated by SOSA PROJECTS, LLC ("SOSA PROJECTS," "Company," "we," "our," or "us").
By accessing or using Pantry, you:
- Agree to be bound by these Terms
- Represent that you are at least 18 years old (or legal age in your jurisdiction)
- Agree to comply with all applicable laws
If you do not agree, you must not use the Service.
2. Nature of the Service
Pantry is a mobile application that helps users manage and track their pantry inventory, meal planning, and grocery lists.
Pantry:
- Is not a medical or dietary advisory service
- Does not provide nutritional guidance
- Does not verify product safety or recalls
- Does not guarantee accuracy of product information
All data entered into Pantry is self-reported and user-generated.
3. User Accounts
You are responsible for:
- Maintaining account confidentiality
- All activity under your account
- Ensuring accuracy of submitted information
We may suspend or terminate accounts at our sole discretion for violations of these Terms.
4. User-Generated Content
You retain ownership of content you submit ("User Content"), including:
- Pantry items and inventory data
- Grocery lists
- Notes and labels
However, by submitting User Content, you grant Pantry a worldwide, non-exclusive, royalty-free license to:
- Store
- Display
- Process
- Reproduce
- Use for service operation
You represent that:
- You have the right to submit the content
- Your content does not violate any laws
- Your content does not infringe third-party rights
Pantry is not responsible for User Content.
5. Social Features
If Pantry includes shared lists or household features, these are opt-in and require mutual acceptance. Pantry:
- Does not verify user identities
- Does not screen users
- Is not responsible for user conduct
You agree to use social features responsibly.
6. Prohibited Conduct
You agree not to:
- Upload, share, or distribute explicit, obscene, or objectionable content
- Harass other users
- Reverse engineer the App
- Scrape data
- Use the App for unlawful purposes
We reserve the right to suspend accounts for violations.
7. Disclaimer of Warranties
To the maximum extent permitted by law:
The Service is provided "as is" and "as available." Pantry disclaims all warranties, express or implied, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy
- Reliability
We do not warrant that:
- The Service will be error-free
- Data will be accurate
- The Service will be secure
8. Limitation of Liability
To the maximum extent permitted by law:
Pantry, its officers, directors, employees, and affiliates shall not be liable for:
- Indirect damages
- Incidental damages
- Consequential damages
- Special damages
- Punitive damages
- Lost profits
Our total liability shall not exceed the greater of (a) $100 USD or (b) the amount you paid us in the last 12 months.
9. Indemnification
You agree to indemnify and hold harmless Pantry from any claims arising out of:
- Your use of the Service
- Your User Content
- Violation of these Terms
- Violation of third-party rights
10. Dispute Resolution — Binding Arbitration
Please read this section carefully.
A. Agreement to Arbitrate
You agree that any dispute, claim, or controversy arising out of or relating to the Service shall be resolved exclusively through final and binding arbitration. Arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
B. No Jury Trial
You waive the right to a jury trial.
C. Class Action Waiver
You agree that disputes will be resolved on an individual basis only. You waive the right to participate in:
- Class actions
- Class arbitrations
- Representative actions
- Private attorney general actions
No arbitration may be consolidated with another.
D. Opt-Out
You may opt out of arbitration within 30 days of first using the Service by emailing [email protected] with the subject line: "Arbitration Opt-Out"
11. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
12. Termination
We may suspend or terminate access at any time. You may stop using the Service at any time.
13. Modifications
We may update these Terms at any time. Continued use constitutes acceptance of changes.
14. Severability
If any provision is found unenforceable, the remainder remains in effect.
15. Entire Agreement
These Terms constitute the entire agreement between you and SOSA PROJECTS, LLC regarding the Service.
